ONCAM GROUP WEBSITE TERMS OF USE

(Covering the United States, United Kingdom, Europe, and the Middle East & North Africa)

Please read the following Terms of Use carefully before using any websites of the Oncam Group. 

These Terms of Use govern your access to and use of this website, which is operated by ONVU Technologies Limited, a company registered in England and Wales (Company No. 06140643) with its registered office at 6th Floor, 2 London Wall Place, London, United Kingdom, EC2Y 5AU (“Oncam”, ‘we’, “our”, or “us”). References to the “Oncam Group” mean ONVU Technologies Limited, its parent company ONVU Technologies AG (Switzerland), and its affiliates and subsidiaries, including Oncam Global Inc. (USA).”

These Terms of Use also apply to any communications features, online features, services and/or programs offered by Oncam (collectively, the “Web Properties”). 

 

PLEASE READ THE TERMS OF USE CAREFULLY AS THEY INCLUDE IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS.   YOU AGREE THAT, BY ACCESSING OR USING THE WEB PROPERTIES, INCLUDING BY BROWSING, DOWNLOADING, CLICKING ON A LINK, OR INITIATING A DISPLAY OR DOWNLOAD, YOU AGREE TO BE BOUND BY THE TERMS OF USE SET FORTH BELOW AND BY ALL POSTED GUIDELINES OR RULES WHICH MAY BE POSTED FROM TIME TO TIME (COLLECTIVELY, THE “TERMS OF USE”).  IF YOU DO NOT AGREE TO THE TERMS OF USE, YOU SHOULD NOT ACCESS OR USE THE WEB PROPERTIES, AND YOUR SHOULD DELETE AND OTHERWISE REFRAIN FROM USING ANY INFORMATION DOWNLOADED OR COPIED FROM THE WEB PROPERTIES. WE RESERVE THE RIGHT TO CHANGE THE TERMS OF USE AT ANY TIME. IF WE DO SO, WE WILL POST THE DATE OF THE LAST REVISION OF THE TERMS OF USE ON THIS WEB PAGE.

 

The Terms of Use are not applicable to any other web page operated and/or owned by any entity other than Oncam, including, but not limited to, any website, mobile application, blog, forum, or other material operated by any third party identified on the Web Properties.  When visiting these third-party websites or using these third party services, you should refer to the terms and conditions in effect for the applicable owner.

 

  1. CONVENIENCE AND INFORMATION ONLY. The Web Properties are provided to you as a convenience and for your information only.  By merely providing access to the Web Properties, Oncam does not represent or warrant that: (a) any materials, documents, images, graphics, logos, designs, audio, video and any other information provided from or on the Web Properties (collectively, the “Content”) is accurate or complete; (b) the Content is up-to-date or current; (c) we have any obligation to update any Content; (d) the Content is free from technical inaccuracies or programming or typographical errors; (e) the Content is free from changes caused by a third party; (f) your access to the Web Properties will be free from interruptions, errors, computer viruses or other harmful components; (g) any information obtained in response to questions asked through the Web Properties is accurate or complete; and/or (h) the Content is non-infringing of any third party’s intellectual property rights. 

 

  1. WEB PROPERTIES USE AND CONTENT. The text, images and presentation on the Web Properties and all information (including any code) visible, accessible, or presented for download thereon are protected by copyright owned by or licensed to Oncam. 

 

Oncam authorizes you to copy information available on the Web Properties for personal or non-commercial use only, provided that any copy that you make of that information retains all copyright and other proprietary notices contained therein. No other permission or license is granted. YOU MAY ONLY USE THE WEB PROPERTIES FOR LEGITIMATE BUSINESS PURPOSES IN CONNECTION WITH ONCAM PRODUCTS OR SERVICES.  No materials available on the Web Properties may be distributed or transmitted by any means (including, but not limited to, electronic, mechanical, scanning, photocopying or recording) without the prior written permission of Oncam.

 

You are not authorized to make any derivative work from any code, image or description made available on or through the Web Properties. You agree not to reverse engineer or analyze any code accessible on or through the Web Properties. Please contact digital@oncam.net, if you require interface information for interoperability purposes.

 

  1. BUSINESS USE DISCLAIMER. The Web Properties and their services are intended for business-to-business (B2B) use only and are not directed at individual consumers.

 

  1. UPDATES. We may make changes to or stop providing the Web Properties and/or the Content at any time and without further notice to you.  We will make an effort to update this web page with any changes to the Terms of Use, and you are encouraged to review the Terms of Use frequently (the date of the most recent revision to the Terms of Use appears at the end of the Terms of Use).

 

  1. PRIVACY. We know that privacy is very important to you, and it is very important to us as well.  If you provide us with your email address or other contact information, you consent to receiving electronic communications from us.  We will communicate with you by email or by posting notices on our Web Properties. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communication be in writing.  We will process personal data in accordance with the UK Data Protection Act 2018, the EU General Data Protection Regulation (GDPR), applicable U.S. privacy laws, rules and regulations (where applicable), and relevant Middle Eastern privacy laws, including the UAE Federal Decree-Law No. 45 of 2021 (Personal Data Protection Law).  Personal data that you provide regarding yourself will be handled in accordance with our Privacy Policy, available at www.oncam.net/privacy-policy.  

 

  1. NOT INTENDED FOR CHILDREN. We do not collect personally identifiable information from any person that we know to be under the age of thirteen (13). Specifically, the Web Properties are not intended or designed to attract children under the age of thirteen (13).  You affirm that you are more than eighteen (18) years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in the Terms of Use, and to abide by and comply with the Terms of Use. In any case, you affirm that you are over the age of thirteen (13), as THE WEB PROPERTIES ARE NOT INTENDED FOR CHILDREN UNDER THIRTEEN (13).

 

  1. SUBMISSIONS. If you view the Web Properties and respond with information (excluding personally identifiable information disclosed on non-public areas of the site, which is addressed in our Privacy Policy), including questions, comments or suggestions regarding the content of the Web Properties, the information you provide will be deemed to be non-confidential and Oncam will not have any obligation of any kind with respect to that information and will be free to reproduce, use, disclose and distribute that information to others without limitation.  Oncam will be free to use any ideas, concepts, know-how or techniques contained in that information for any purpose whatsoever, including, but not limited to, developing, manufacturing and marketing products incorporating that information.

 

  1. NO REPRESENTATIONS OR WARRANTIES. When using the Web Properties, information will be transmitted in such a way that may be beyond our control.  As such, we make no warranty concerning the delay, failure, interruption, or corruption of any data, the Content, or other information transmitted in connection with the use of the Web Properties.  YOU EXPRESSLY AGREE THAT YOUR USE OF THE WEB PROPERTIES IS AT YOUR SOLE RISK.  THE WEB PROPERTIES AND THE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, UNLESS SUCH WARRANTIES ARE LEGALLY INCAPABLE OF EXCLUSION.  WE DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, TITLE, NON INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, OR OF ANY OTHER NATURE REGARDING THE INFORMATION, MATERIALS OR SERVICES PROVIDED ON OR THROUGH THE WEB PROPERTIES OR ANY PRODUCT TO WHICH THE SUCH INFORMATION OR MATERIALS MAY REFER OR TO WHICH SUCH INFORMATION, MATERIALS OR SERVICES RELATE.  WE MAKE NO REPRESENTATIONS OR WARRANTIES THAT THE WEB PROPERTIES, THE CONTENT, OR ANY SERVICES OFFERED IN CONNECTION WITH THE WEB PROPERTIES, ARE OR WILL REMAIN UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEB PAGES AVAILABLE ON OR THROUGH THE WEB PROPERTIES, OR THE SERVERS USED IN CONNECTION WITH THE WEB PROPERTIES, ARE OR WILL REMAIN FREE FROM ANY VIRUSES, WORMS, TIME BOMBS, DROP DEAD DEVICES, TROJAN HORSES, OR OTHER HARMFUL COMPONENTS.  WE DO NOT GUARANTEE THAT YOU WILL BE ABLE TO ACCESS OR USE THE WEB PROPERTIES AT TIMES OR LOCATIONS OF YOUR CHOOSING, OR THAT WE WILL HAVE ADEQUATE CAPACITY FOR THE WEB PROPERTIES AS A WHOLE OR IN ANY SPECIFIC GEOGRAPHIC AREA.  WE MAKE NO REPRESENTATION OR WARRANTY REGARDING GOVERNMENT COMPLIANCE OF ANY SOFTWARE USED IN RUNNING THE WEB PROPERTIES. 

 

  1. LIMITATION OF LIABILITY. IN NO EVENT WILL WE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEB PROPERTIES AND/OR ANY CONTENT PROVIDED IN CONNECTION WITH THE WEB PROPERTIES OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE WEB PROPERTIES AND/OR ANY CONTENT PROVIDED THROUGH THE WEB PROPERTIES.  ADDITIONALLY, WE WILL NOT BE LIABLE FOR NEGATIVE REPERCUSSIONS TO ANY PARTY BASED ON THE USE OF OR INABILITY TO USE THE WEB PROPERTIES, INCLUDING, BUT NOT LIMITED TO, LOST GOODWILL, LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF PROGRAMS OR INFORMATION, EVEN IF WE HAVE BEEN SPECIFICALLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  WE WILL BE LIABLE ONLY TO THE EXTENT OF ACTUAL DAMAGES INCURRED BY YOU, NOT TO EXCEED THE GREATER OF (a) THE AMOUNT THAT YOU ACTUALLY PAID TO ONCAM FOR GOODS OR SERVICES IN THE PRIOR SIX (6) MONTHS, IF ANYTHING, OR (b) $100.  WE ARE NOT LIABLE FOR ANY PERSONAL INJURY, INCLUDING DEATH, OR PROPERTY DAMAGE CAUSED BY YOUR USE OR MISUSE OF THE WEB PROPERTIES AND/OR THE CONTENT.  REMEDIES UNDER THE TERMS OF USE ARE EXCLUSIVE AND ARE LIMITED TO THOSE EXPRESSLY PROVIDED FOR IN THE TERMS OF USE.  BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW. 

 

Notwithstanding the foregoing or any other provision contained in the Terms of Use, nothing in these Terms of Use will limit your statutory rights as a consumer under applicable local law. 

 

  1. INDEMNIFICATION. You agree to defend, indemnify, and hold harmless Oncam and our directors, officers, employees, and agents from and against any and all claims, demands, suits, proceedings, liabilities, judgments, losses, damages, expenses, and costs (including, but not limited to, reasonable attorneys’ fees) assessed or incurred by us, directly or indirectly, with respect to or arising out of: (a) your failure to comply with the Terms of Use; (b) your breach of your obligations under the Terms of Use; and/or (c) your use of the rights granted hereunder, including, but not limited to, any claims made by any third parties.

 

  1. THIRD PARTY CONTENT. Links to other websites maintained by third parties may be provided on the Web Properties by Oncam, or Oncam may provide third party content on the Web Properties by framing or other methods.  THE LINKS TO THIRD PARTY WEBSITES ARE PROVIDED FOR YOUR CONVENIENCE AND INFORMATION ONLY.  We do not endorse the contents of any other websites.  You should refer to the separate terms of use, privacy policies, and other rules posted on other websites before you use them.   THE CONTENT ON ANY LINKED WEBSITES IS NOT UNDER ONCAM’S CONTROL AND ONCAM IS NOT RESPONSIBLE FOR THE CONTENT OF ANY LINKED WEBSITES, INCLUDING ANY FURTHER LINKS CONTAINED ON A THIRD PARTY WEBSITE.  IF YOU DECIDE TO ACCESS ANY OF THE THIRD PARTY WEBSITES LINKED ON THE WEB PROPERTIES, YOU DO SO ENTIRELY AT YOUR OWN RISK.

 

If a third party should link to or refer to the Web Properties, it is not necessarily an indication of an endorsement, authorization, sponsorship, affiliation, joint venture, or partnership by or with us.  In most cases, we are not even aware that a third party has linked to or refers to the Web Properties. 

 

  1. DISCLAIMER REGARDING AI TOOLS. The Web Properties may use artificial intelligence (“AI”) tools, technologies or systems to enhance or improve website performance or the user experience, provide information, or assist with certain functionalities. While Oncam endeavors to ensure accuracy and reliability, any outputs or responses generated by these AI tools are provided for informational purposes only and should not be considered as professional advice.  Oncam does not guarantee the completeness, accuracy, or suitability of any AI-generated output or content, and users are responsible for verifying any information obtained through these means before relying on it.  All uses and implementations of these AI tools will be consistent with, and subject to, Oncam’s Privacy Policy. 

 

  1. COPYRIGHT AND TRADEMARKS. Oncam is the copyright owner or authorized licensee of all text and all graphics that Oncam posts on or in the Web Properties.  “Oncam,” the Oncam logo, and all product names appearing on the Web Properties are owned by Oncam or its subsidiaries or affiliates.  Other parties’ trademarks and service marks that may be referred to in the Web Properties are the property of their respective owners.  Nothing in the Web Properties should be construed as granting, by implication, estoppel or otherwise, any license or right to use any of Oncam’s, or its subsidiaries’ or affiliates’, trademarks, service marks or copyrights without Oncam’s prior written permission.  Oncam aggressively enforces its intellectual property rights.  Neither the name or logo of Oncam, its subsidiaries or affiliates, nor any of Oncam’s other trademarks, service marks or copyrighted materials may be used in any way, including in any advertising, hyperlink, publicity or promotional materials of any kind, whether relating to the Web Properties or otherwise, without Oncam’s prior written permission. Oncam makes no representation or warranty that any use of the information contained on the Web Properties will not infringe any patent, trademark, copyright or other intellectual property right of Oncam or any third party. 

 

  1. AVAILABILITY. Information that Oncam makes available on or through the Web Properties may contain references or cross-references to products, programs or services of Oncam, its partners, subsidiaries or affiliates, that are not necessarily announced or available in your area.  Such references do not mean that Oncam, or any of its partners, subsidiaries or affiliates, will announce any of those products, programs or services in your area at any time in the future.  You should contact Oncam for information regarding the products, programs and services that may be available to you, if any.

 

  1. SUSPENSION OR TERMINATION OF SERVICE. We may, in our sole discretion, suspend or terminate your access to all or any part of the Web Properties if we believe that you have violated any of the Terms of Use, that you have conducted any fraudulent, abusive or offensive activity by means of any public area of the Web Properties, or that you have done something that we believe is or will be harmful to other users of the Web Properties, to Oncam, to its partners, to Oncam’s service provider, or to other information providers.  We will not have any liability to you or anyone else for any claim or damage arising as a result of such suspension or termination.

 

  1. GOVERNING LAW; VENUE. These Terms of Use and any dispute arising out of or relating to them will be governed by and construed in accordance with the laws of:

(a) England and Wales — for users in the UK, Europe, Middle East & Africa;

(b) the State of Delaware, USA — for users in the Americas; and

(c) the mandatory laws of the user’s local jurisdiction where required by applicable law. Each party irrevocably submits to the exclusive jurisdiction of the competent courts in the jurisdictions identified above, except that Oncam may seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or confidential information.

 

  1. LOCAL LAWS. Oncam makes no representation that any content or materials on the Web Properties are appropriate or available for use in jurisdictions outside the United States.  Access to the Web Properties from jurisdictions where such access is illegal is prohibited.  Access to the Web Properties from jurisdictions where content or services are restricted is at your sole risk, and you must ensure your use complies with applicable local laws (e.g., the UAE Cybercrime Law).  Oncam is not responsible for any violation of law.  You may not use or export the Content or materials in the Web Properties in violation of U.S. export laws and regulations.  You agree to comply with all applicable laws regarding the transmission of technical data exported from the United States and the country in which you reside (if different from the United States).  Users are responsible for compliance with all applicable export control, import, and sanctions laws, including those of the United States (OFAC/BIS), the United Kingdom (OFSI), the European Union, and the United Arab Emirates. You may not access, download, or use any content or software from the Web Properties if you are located in a jurisdiction subject to comprehensive sanctions.

 

  1. CUSTOMER COMMENTS. We welcome the submission of comments, information or feedback concerning the Web Properties.  By submitting information concerning the Web Properties, you agree that the information submitted will be subject to Oncam’s Privacy Policy, available at https://www.oncam.net/privacy-policy

 

  1. MISCELLANEOUS. These Terms of Use constitute the entire agreement between you and Oncam regarding your use of the Web Properties. If any provision is held invalid, the remaining provisions will remain in full force and effect. Failure to enforce any right does not constitute a waiver.
